Terms of Service

By accessing or using any service provided by VIDIOMAI INC. operating as Vidiom AI, you agree to be bound by these Terms of Service ("Terms"). Please read carefully before proceeding.

Vidiom AI provides AI-powered marketing automation services, including AI voice assistants, SMS/email automation, CRM workflows, chatbot builds, and related digital services. We reserve the right to modify, suspend, or discontinue any part of our services at any time without liability.

3. SMS Messaging Terms

By opting in to receive SMS communications from VIDIOMAI INC. (Vidiom AI), you agree to the following:

• Message Types: You may receive appointment reminders, booking confirmations, promotional offers, and service-related updates.
• Message Frequency: Message frequency varies based on your activity and preferences.
• Message & Data Rates: Message and data rates may apply depending on your carrier plan.
• Opt-Out: Reply STOP at any time to unsubscribe from SMS messages. You will receive one confirmation message and no further messages.
• Help: Reply HELP for assistance or contact us at [email protected].
• Carrier Liability: Carriers are not liable for delayed or undelivered messages.
• Data Sharing: Mobile opt-in data and phone numbers will not be shared with third parties or affiliates for marketing or promotional purposes.

4. Account Registration

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information.

5. Acceptable Use

You agree not to use Vidiom AI services to:

• Violate any applicable laws or regulations
• Transmit spam, unsolicited messages, or fraudulent content
• Impersonate any person or entity
• Interfere with or disrupt service infrastructure
• Reverse engineer or attempt to extract proprietary systems or automation logic

6. Intellectual Property

All automation logic, AI configurations, workflow architecture, and proprietary systems built and deployed by Vidiom AI remain the exclusive intellectual property of VIDIOMAI INC. Clients retain ownership of their contact data, creative assets, and brand materials. No portion of our systems may be reproduced or resold without written consent.

7. Payment Terms

Fees are billed as agreed in your service agreement. Invoices are due within 15 days of issuance (Net 15). Late payments may result in service suspension. All fees are non-refundable unless otherwise agreed in writing.

8. Limitation of Liability

To the maximum extent permitted by law, VIDIOMAI INC. shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of, or inability to use, our services. Our total liability shall not exceed the fees paid in the three months preceding the claim.

9. Termination

Either party may terminate services with 30 days written notice. We reserve the right to terminate immediately for material breach of these Terms, including misuse of SMS communications or violation of applicable messaging regulations.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. We will update the Effective Date at the top of this page when changes are made.
